Mentor Terms & Conditions

When you sign up to become a mentor on the Rudderly platform (“Mentor”), you agree to abide by these Mentor Terms ("Terms"). 

Rudderly is platform (www.rudderly.com) (“Platform”) where you as an individual can sign up to become a Mentor which will enable you to to provide others (“Mentees”) with the opportunity to help them in navigating their professional path & goals (“Mentorship”). 

These Terms cover details about the aspects of the Rudderly platform ) relevant to Mentors and are incorporated by reference into our Terms and Conditions, the general terms that govern your use of our Services. Any capitalized terms that aren't defined in these Terms are defined as specified in the Terms and Conditions.

REGISTERING AS A MENTOR

Thank you for agreeing to provide your time towards helping build a strong foundation for someone's career. A few things to keep in mind when we onboard you on Rudderly as a Mentor to provide Mentorship are detailed below:

  • You will need to sign-up on the Platform using your email or other social media accounts and create an account on the Platform. 

  • When you want to sign up as a Mentor create a Mentor Profile on the Rudderly platform and fill out a form containing specific details in relation to personal & contact details, professional qualification and work history, interests, bank account details etc.

  • Once you create a Mentor profile, we at Rudderly will review and verify the authenticity of your profile by vetting the same as per the proprietary process set out by Rudderly assessing factors including but not limited to professional background, information available publicly etc. 

  • After your profile has passed the Rudderly vetting process, you will officially become a Rudderly Mentor. 

  • We will send you an email intimating you that you officially are a Rudderly Mentor now along with a welcome kit which will provide you with a few helpful branding and marketing tools to up your social media presence and build your personal brand. 

MENTORSHIP PROGRAM

Congratulations! You are a Rudderly Mentor now. It's time to get you connected with your Mentee and start the process of supporting them in their career journey. 

As next steps we will:

  1. After you have been onboarded as a Rudderly Mentor, we will place your profile on our platform under the relevant careers applicable to you. 

  2. Once a booking has been initiated by a Mentee, the Rudderly team will reach out to you to schedule a time to set up your meetings with your Mentee.

  3. Mentorship Program: Your Mentorship Program will consist of a minimum of two virtual meetings (“each meeting shall be referred to as a “Mentorship Session”), duration of each meeting shall be for one hour thirty minutes. The Mentorship Program should be concluded within two weeks from the date the first Mentorship Session is held.  

  4. Subject to your availability as may be visible to the Mentee on your profile on the Platform, a Mentee will request a Mentorship session with you directly on the Platform.

  5. You will receive an email confirmation of the Mentorship Session and for the purpose of uniformity & structure, a Mentorship Session prep-kit consisting of a presentation template prepared by Rudderly. You will need to update this presentation with the relevant information as requested. This presentation should be used for your Mentorship Sessions along with a do’s and don’ts guide shared with you, for your reference. This presentation will be provided by Rudderly and must be followed by you at all times during any Mentorship Session.

  6. Rudderly has the right to alter the structure of the Mentorship Sessions as Rudderly may deem fit and shall provide each Mentor with written notice of the same via an email. As a Mentor you here by confirm and consent to adhere to such changes. In the event you do not agree to adhere to changes made to the structure of the Mentorship Session by Rudderly, you can withdraw from the Platform and cancel your registration by sending an email to mentor.support@rudderly.com within 48 hours of receiving an email from Rudderly of the changes made.

  7. Rudderly possesses the sole property rights of the content entailed in the said presentation. It must not be used for any commercial purposes other than as a framework to the Mentorship Program. You are hereby prohibited to reproduce, duplicate, copy, transfer, license, rent, sell, trade or resell the contents of the presentation. 

  8. Each Mentorship Session will be automatically recorded by Rudderly, to ensure Rudderly quality standards, training purposes and to further enhance the quality of our Services.

  9. Each Mentorship Session shall be conducted online through the mediums of video calling platforms such as Zoom or any other site/application as decided by Rudderly. As a Mentor onboarded on the Platform, you hereby agreed to adhere to the terms and conditions of such third-party providers that Rudderly uses for the Mentorship Program & Sessions.

  10. You confirm that you will not record any content through any manner or means.


 

  1. Mentor Obligations

As a Mentor, you are solely responsible for all the content that you post and communicate or publish on the Rudderly platform, including but not limited to videos, assignments, presentations, information, data, sounds, graphics, messages, exercises, quizzes ("Submitted Content").

You represent and warrant that:

  • you will provide and maintain accurate account information on the Rudderly platform;

  • you own or have the necessary licenses, rights, consents, permissions, and authority to authorize Rudderly to use your Submitted Content as specified in these Terms and the Terms of Use;

  • your Submitted Content will not infringe or misappropriate any third party's intellectual property rights;

  • you have the required qualifications, credentials and expertise to offer the Mentorship Sessions;

  • you will remain unbiased at all times and not dissuade the Mentees from any career solely due to your aversions and disgruntlement; 

  • you will respond promptly to Mentee and ensure a quality of service that corresponds with the standards of your industry and instruction services in general.

You warrant that you will not:

  • post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;

  • post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;

  • use the Services for business other than providing Mentorship including but not limited to assistance, and instructional services to Mentees;

  • engage in any activity that would require us to obtain licenses from or pay royalties to any third party;

  • frame or embed the or otherwise circumvent the Services;

  • impersonate another person or gain unauthorized access to another person's account;

  • interfere with or otherwise prevent other instructors from providing their services;

  • abuse Rudderly resources, including support services.

  1. Ownership of Submitted Content 

All Submitted Content and related material (“Intellectual Property”) that is developed or produced for the provision of the Mentorship & Mentorship Sessions under this Agreement will be the property of the Rudderly. You, for the purposes of providing the Mentorship are granted a non-exclusive limited license to the Rudderly Intellectual Property. 

Rudderly has all ownership right in the Submitted Content and can offer, market, and otherwise exploit the Submitted Content, sublicense it to Mentee for any purposes directly or through third parties. This includes the right to add captions or otherwise modify content to ensure accessibility.

We may record all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Rudderly permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Rudderly’s content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

  1. Trust & Safety

3.1 Trust & Safety Policies

You agree to abide by Rudderly’s Terms and other quality standards or policies prescribed by Rudderly from time to time. You should check these policies periodically to ensure that you comply with any updates to them. You understand that your use of the Services is subject to Rudderly’s approval, which we may grant or deny at our sole discretion.

We reserve the right to remove, suspend payouts, and/or ban Mentors for any reason at any time, without prior notice, including in cases where:

  • a Mentor does not comply with our policies or legal terms (including the Terms of Use);

  • a session falls below our quality standards or has a negative impact on the participant experience;

  • a Mentor keeps changing their schedules while being unavailable without proactively informing Rudderly;

  • a Mentor engages in behavior that might reflect unfavorably on Rudderly or bring Rudderly into public disrepute, contempt, scandal, or ridicule;

  • there is a discrepancy in the profile of the Mentor with respect to education qualifications, skill sets, experience and so on;

  • a Mentor engages the services of a marketer or other business partner who violates Rudderly's policies; or

  • as determined by Rudderly in its sole discretion.

3.2 Relationship to Other Users

Mentors don't have a direct contractual relationship with Mentee, so the only information you'll receive about Mentee is what is provided to you through the Services. You agree that you will not use the data you receive for any purpose other than providing your services to those Mentees on the Rudderly platform, and that you won't solicit additional personal data or store Mentees personal data outside the Rudderly platform. Any contact that you maintain with the participant after your Mentorship sessions are over, as certified by Rudderly, are completely and solely your responsibility. Rudderly will not be held accountable for any wrongful act or spiteful communication between you and the former participant. You will fully indemnify and hold harmless Rudderly against any claims arising from your use of Mentee' personal data and your communication with the participant after the termination of the Mentorship program. 

 

  1. Pricing 

When you are on-boarded as a Rudderly Mentor you will have the option of selecting the fee you would want to charge to a Mentee. In any case, if you want to offer the Mentorship Program pro bono to the Mentee, then Rudderly would charge a base fee or Rs. 1000 as service fee. This fee is subject to change at the discretion of Rudderly.

 

  1. Revenue Share

When a Mentee purchases the Mentorship program, we calculate the gross amount of the sale as the amount actually received by Rudderly from the participant (“Gross Amount”). From this, we subtract any Transaction Taxes, any gateway fees applied, a 30% administrative and handling fee, and any amount paid to third parties to calculate the net amount of the sale (“Net Amount”).

Rudderly makes all Mentor payments in Indian Rupees (INR) regardless of the currency with which the sale was made. We will assume transaction processing fees, excluding foreign currency conversion fees and wiring fees. Your revenue report will show the sales price (in local currency) and your converted revenue amount (in INR). Rudderly has the right to change this Revenue share as and when necessary. This discretion solely lies with Rudderly. 

 

  1. Transaction Taxes

If a user purchases a product or service in a country that requires Rudderly to remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes ("Transaction Taxes"), under applicable law, we will collect and remit those Transaction Taxes to the competent tax authorities for those sales. We may increase the sale price at our discretion where we determine that such taxes may be due. For purchases through mobile applications, applicable Transaction Taxes are collected by the mobile platform (such as Apple's App Store or Google Play).

 

  1. Payment

The payment as finalized will be credited to the bank account details as provided by you when you are on-boarded as a Mentor on the Platform, within fourteen (14) working days. The amount will be credited after the completion of the three (3) sessions only. 

 

  1. Promotional Purposes

After every 10th Mentorship Session that you conclude as a Mentor, you will be approached by Rudderly to provide one Mentorship Session free of cost for promotional purposes or with the intention of social interest. You may have the option to choose not to engage in this undertaking as per your convenience. However, if you do choose to participate in this endeavor, you/your brand will be vehemently featured across all our platforms.   

 

  1. Trademarks

While you are a Rudderly Mentor, you may use our trademarks where we authorize you to do so, subject to the requirements as explained below.

You must: 

  • only use the images of our trademarks that we make available to you, as detailed in any guidelines we publish;

  • only use our trademarks in connection with the promotion and sale of Rudderly or your participation in Rudderly; and

  • immediately comply as and when we request you to discontinue the said use.

You must not:

  • use our trademarks in a misleading or disparaging way;

  • use our trademarks in a way that implies that we endorse, sponsor, or approve of your services; or

  • use our trademarks in a way that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

 

  1. Updating These Terms

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Rudderly reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise.

Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.

 

  1. Relationship Between Us

You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
