 Rudderly (“Rudderly”) provides our website located at www.rudderly.com (the “Site”) and accessible via our mobile device application (“App”). To make these Terms easier to read, the Site, our services and App are collectively called the “Services.” Please read these Terms of Use & Service (the “Terms”) carefully because they govern your use of our Services.

 

Agreement to the Terms

By using our Services, you agree to be bound by these Terms. If you don’t agree to be bound by these Terms, do not use the Services.

 

Privacy Policy

Please refer to our Privacy Policy for information on how Rudderly collects, stores, uses and discloses information from our users. You acknowledge and agree that your use of the Services is subject to our Privacy Policy.

 

At, Rudderly we aim to provide our customers (“You”) with personalized career services, such as our proprietary assessment tests, access to career content and mentorship programs with our community of professional mentors.

 

“Us/ Rudderly/ We/ Our / Company” will mean Rudderly, having its registered office in Mumbai (“Rudderly”) and using the Service Mark ‘Rudderly’ and (hereinafter referred to as ‘Rudderly’) to govern Your engagement with and usage of Our Services and or facilities, offered through its webpage or application (“Rudderly”) via the mobile, PC or any other device/platform. “You/Your/User” will mean You: the customer (i.e. any person or organization to whom Rudderly and Our Service providers agree to provide Services at cost or free of charge, as the case maybe).

 

Acceptance of Terms: You will be deemed to have agreed to and accepted these Terms (and future modifications) if You, use, sign up or subscribe for Rudderly through its website/ application across any device or platform (“Services”). By using/ signing up/subscribing, You have confirmed that You have read & understood Terms completely and agree to abide by them. You agree to comply with the applicable local laws, of the territory where You are located and for the use of the ‘Rudderly’ website and application and Rudderly will not be responsible for any violation of laws by You. You are hereby prohibited to reproduce, duplicate, copy, transfer, license, rent, sell, trade or resell software or any Content (as defined below) made available to You on ‘Rudderly’ for any commercial purposes or self-fulfilling financial gain. As some of Our Services may be software, that is, downloaded to Your computer, phone, tablet, or other device, You agree that Rudderly may automatically update this software, and that these Terms will apply to such updates. By using Our Services, You are agreeing to be bound by the said Terms, including the policies mentioned hereinafter. Your agreement with Rudderly regarding the compliance with these Terms becomes effective immediately upon the commencement of Your use of the Rudderly Services.

 

You acknowledge and agree that it is Your responsibility to review this site and these Terms from time to time and to familiarise Yourself with any modifications. Your continued use of Our Services after such modifications will tantamount to acknowledgement of the modified Terms and agreement to abide and be bound by the modified Terms.

 

  1. REGISTRATION & ACCOUNT

 

In order to use the Services on Our platform, You will need to create an account and register with Rudderly. When you register on Rudderly, Your registration details, including Your password, need to be kept safe and is solely the responsibility of the User for any partaking through the registered account. You may never use another's account, and You may not provide another person with the username and password to access Your account. You are fully responsible for any and all activities that occur under Your password or account, and it is Your responsibility to ensure that Your password remains confidential and secure. You agree to (a) immediately notify Rudderly   of any unauthorised use of Your password or account or any other breach of security, and (b) ensure that You exit from Your account at the end of each session when accessing the Service. Rudderly will not be liable for any loss or damage arising from Your failure to comply with the aforementioned policies.

 

Persons who are “competent/capable” of contracting within the meaning of the Indian Contract Act, 1872 will be eligible to register for Our Services. Persons who are minors, un-discharged insolvents etc. are not eligible to register for Our Services. As a minor if You wish to use Our Services, such use will be made available to You by Your legal guardian or parents, who has agreed to these Terms. In the event a minor utilizes the Services, it is assumed that he/she has obtained the consent of the legal guardian or parents and such use is made available by the legal guardian or parents. Rudderly will not be responsible for any consequence that arises as a result of misuse of any kind of Services that may occur by virtue of any person including a minor registering for the Services provided. By using the Services, You warrant that all the data provided by You is accurate and complete and that You have obtained the consent of a parent/legal guardian (in case of minors). Rudderly reserves the right to terminate Your subscription and / or refuse to provide You with access to the Services if it is discovered that You are under the age of 18 (eighteen) years and the consent to use the Services is not made by Your parent/legal guardian or any information provided by You is inaccurate. You acknowledge that Rudderly do not have the responsibility to ensure that You conform to the aforesaid eligibility criteria. It will be Your sole responsibility to ensure that You meet the required qualification. Any persons under the age of 18 (eighteen) should seek the consent of their parents/legal guardians before providing any Information about themselves or their parents and other family members to Rudderly.

 

2. PARTNERS

 

Rudderly does not recommend, promote or suggest any particular service partner. You agree that selection of any such partner on the ‘Rudderly’ website, and/or the ‘Rudderly’ application is at Your sole discretion and is not based on any representations or recommendations by Us, and is therefore Your sole and exclusive responsibility.

 

3. PERSONAL INFORMATION

 

You hereby give Your explicit consent that any personal information, contact details, feedback data, records or the like, which You send to Rudderly or its affiliates will be treated as being non-confidential and non-proprietary in relation to the Services being provided by Us, and maybe collected, stored, used, processed, transferred between jurisdictions, unless such consent is expressly revoked. More information on the collection and processing of Your Personal Information is contained in the Privacy Policy.

 

4. THE SERVICES

 

Via the Services, You can select from a variety of options to help identify a career path of your choice, as well as partake in Rudderly’s Assessments and Mentorship Program with successful professionals from the career of your choice. On payment of such fees as may be indicated on Rudderly, You can also utilize the enhanced functionality of the Services or purchase items that are offered for sale through the Services (the “Products”). Some Services are only available on payment of such fee as will be indicated.  

 

5. RIGHTS AND TERMS FOR APPS

 

  • Rights in App Granted by Rudderly 

Subject to your compliance with these Terms, Rudderly grants you a limited non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the App on a mobile device or computer that you own or control and to run such copy of the App solely for your own personal non-commercial purposes. Rudderly reserves all rights in and to the App not expressly granted to you under these Terms. You may not copy the App. Except as expressly permitted in these Terms, you may not: (i) copy, modify or create derivative works based on the App; (ii) distribute, transfer, sublicense, lease, lend or rent the App to any third party; (iii) reverse engineer, decompile or disassemble the App; or (iv) make the functionality of the App available to multiple users through any means. 

 

  • Additional Terms for App Store Apps

If you accessed or downloaded the App from the Apple Store, then you agree to use the App only: (i) on an Apple-branded product or device that runs iOS (Apple’s proprietary operating system software); and (ii) as permitted by the “Usage Rules” set forth in the Apple Store Terms of Service. 

If you accessed or downloaded the App from an App Provider, then you acknowledge and agree that:

  • These Terms are concluded between you and Rudderly, and not with App Provider, and that, as between Rudderly and the App Provider, Rudderly, is solely responsible for the App.

  • App Provider has no obligation to furnish any maintenance and support services with respect to the App.

  • In the event of any failure of the App to conform to any applicable warranty, you may notify App Provider and App Provider will refund the purchase price for the App to you (if applicable) and, to the maximum extent permitted by applicable law, App Provider will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure of an App to conform to any warranty will be the sole responsibility of Rudderly.

  • App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the App or your possession and use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

  • In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, Rudderly will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms.

  • App Provider and its subsidiaries are third-party beneficiaries of these Terms as related to your license of the App, and that, upon your acceptance of the terms and conditions of these Terms, App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the App against you as a third party beneficiary thereof.

  • You must also comply with all applicable third-party terms of service when using the App.

  • You agree to comply with all India, and foreign export laws and regulations to ensure that neither the App nor any technical data related thereto, nor any direct product thereof is exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations. By using the App you represent and warrant that: (i) you are not located in a country that is subject to an India or Government embargo, or that has been designated by the India. Government as a “terrorist supporting” country; and (ii) you are not listed on any Government list of prohibited or restricted parties. 

 

6. CONDITIONS OF USE

 

Your use of the Services is subject to the relevant laws and regulations of the country You are located in, and You are solely responsible for the substance of Your communications through the site.   Rudderly reserves the right to investigate and take appropriate legal action against anyone who, in Rudderly’s sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators and reporting You to the law enforcement authorities. By posting information on the interactive service that may be available to You on or through this site, You agree that You will not upload, share, post, or otherwise distribute or facilitate distribution of any content - including, but not limited to; text, communications, software, images, sounds, data, or other information that:

  • is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies;

  • victimizes, harasses, discriminates, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, place of birth, caste, race, ethnicity, age, or disability;

  • infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;

  • interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;

  • harvest or collect email addresses or other contact information of other users from the Service by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

  • expresses any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) You do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of Rudderly, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose Rudderly or its Users to any harm or liability of any type;

  • impersonates any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity; solicit personal information from anyone under the age of 18.

  

7. THIRD PARTY INFORMATION

 

The Services may link You to other sites on the internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. These sites may contain information or material that some people may find inappropriate or offensive. These other sites and parties are not under our control, and You acknowledge that Rudderly is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, nor is Rudderly responsible for errors or omissions in any references to other parties or their products and services. The inclusion of such a link or reference is provided merely as a convenience and does not imply endorsement of, or association with, the site or party by Rudderly, or any warranty of any kind, either express or implied.

  

8. INTELLECTUAL PROPERTY RIGHTS

 

By accepting the Terms, You acknowledge and accept that the Service may contain content or features (“Service Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. You agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service Content, in whole or in part, unless explicitly required to do so by Rudderly. In connection with Your use of the Service You, will not engage in or use any data mining, robots, and scraping or similar data gathering or extraction methods. Any use of the Service or the Service Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Service or distributed in connection therewith are the property of Rudderly, our affiliates and our partners (the “Software”). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Rudderly. Any unauthorized use of the materials appearing on this site may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.

 

9. CONTENT AND CONTENT RIGHTS

 

For purposes of these Terms, (i) “Content” means text, graphics, descriptions, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services; and (ii) “User Content” means any Content that users (including You) provide to be made available through the Services. Content includes without limitation User Content.

 

10. CONTENT OWNERSHIP

 

Rudderly do not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that You may have to use and exploit Your User Content. Subject to the foregoing, Rudderly and its licensors exclusively own all right, title and interest in and to the Services and Content, including all associated intellectual property rights. You acknowledge that the Services and Content are protected by copyright, trademark, and other laws of the India and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

 

11. RIGHTS IN USER CONTENT GRANTED BY YOU

 

By making any User Content available through Services You hereby grant to Rudderly a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to subject to applicable laws, use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform and distribute Your User Content in connection with operating and providing the Services and Content to You and to other users.

 

12. ERROR AND OMISSIONS

 

If the Company fails to comply with any of the Terms of this agreement and it is shown that the failure was unintentional or the result of a misunderstanding, a clerical error, a human error, an administrative oversight on the part of the Company, these Terms will still remain in effect. Any inadvertent delay, omission, or error in these Terms, in addition to the above-mentioned circumstances, will not be held to relieve the User from complying with the Terms. We will further be excused from liability of non-deliverance of Services available through Rudderly from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above.

 

13. RIGHTS IN CONTENT GRANTED BY RUDDERLY

 

Subject to these Terms and policies, We grant You a limited, personal, non-exclusive, non-transferable, and revocable license to use our Services. Except for the foregoing limited license, no right, title or interest will be transferred to You. You agree not to use the service for public performances. Using our Services does not give You ownership of any intellectual property rights in our Services or the content You access.

 

14. SERVICE SPECIFIC TERMS

RUDDERLY ASESSMENTS

 

The assessments that Rudderly offers, have been built taking into account a multitude of influencing factors that play a part in finding the perfect career path. The assessments have been carefully constructed and combine analysis on interest, aptitude, personality and much more. You will have the option to purchase these assessments on the platform. A detailed report will be shared with the finding on the platform or via email. These assessment results are used to recommendations that would be the closest match for you. 



 

RUDDERLY CONSULTATION

After completion of the Rudderly Assessments by You, Rudderly offers You the option to consult with our in-house experts who can help you determine the next steps in your career journey. Consultations with Rudderly's team is an opportunity to assess the results with our team of experts. The Rudderly team will run you through the assessment report and discuss the findings and career opportunities that we recommend to you. 

 

RUDDERLY MENTORSHIP 

“Mentee” will hereinafter mean a User who has purchased Our Services in order to be trained, counselled, advised, assisted by a professional of the field (“Mentor”) as extended by Rudderly.

 

A User that has registered an account with Rudderly is eligible to subscribe for a program consisting of two (2) sessions with a Mentor who will be specialized in the said field and equipped with the expertise to foster an insight into the opted career (“Mentorship Program”). The Mentee must abide by all the Terms while purchasing and observing the Mentorship Program.  

 

​RUDDERLY FORUM

Rudderly's community of professionals are always keen to help You find your career path and answer your questions. Hence, the Rudderly Forum where You can ask questions and professionals address the questions. These questions are answered by experts in their own field and Rudderly does not take or make any confirmations regarding their authenticity.

 

14.1 Fees

Rudderly offers certain enhanced features of the Services which You can purchase on a subscription basis the options provided on the Site (“Subscription”). A description of features associated with Subscriptions is available via the Services. When You purchase a Subscription (each, a “Transaction”), Rudderly may ask You to supply additional information relevant to Your Transaction, such as Your credit card number, the expiration date of Your credit card and Your address(es) for billing and delivery (such information, “Payment Information”). You represent and warrant that You have the legal right to use all payment method(s) represented by any such Payment Information. The amounts due and payable by You for a Transaction through the Services will be presented to You before You place Your order.  If You choose to initiate a Transaction via the Services, You authorize Rudderly to provide Your Payment Information to third party service providers so Rudderly can complete Your Transaction and agree (a) to pay the applicable fees and any taxes; (b) that Rudderly may charge Your credit card or third party payment processing account, including, but not limited to, Your account with the app store or distribution platform (like the Apple App Store, Google Play or the Amazon Appstore) where the App is made available (each, an “App Provider”), for verification, pre-authorization and payment purposes; and (c) to bear any additional charges that Your App Provider, bank or other financial service provider may levy on You as well as any taxes or fees that may apply to Your order.  You’ll see Your subscription/ transaction data displayed in the ‘My Subscription Section’ of Your account on the App. Your order is not binding on Rudderly until accepted and confirmed by Rudderly. All payments made are non-refundable and non-transferable except as expressly provided in these Terms.

If You have any concerns or objections regarding charges, You agree to raise them with Rudderly first and You agree not to cancel or reject any credit card or third-party payment processing charges unless You have made a reasonable attempt at resolving the matter directly with Rudderly.

Rudderly reserves the right to not process or to cancel Your order in certain circumstances, for example, if Your credit card is declined, if Rudderly suspect the request or order is fraudulent, or in other circumstances Rudderly deems appropriate in its sole discretion. Rudderly also reserves the right, in our sole discretion, to take steps to verify Your identity in connection with Your order. You may need to provide additional information to verify Your identity before completing Your Transaction (such information is included within the definition of Payment Information). Rudderly will either not charge You or refund the charges for orders that Rudderly do not process or cancel.

 

14.2 Subscriptions: Automatically Renew Until You Cancel & How to Cancel Your Subscription

​All amounts are payable and charged: (i) for one-off purchase (e.g. Subscription), at the time You place Your order; and (ii) For monthly or yearly subscriptions, at the beginning of the subscription and, because each such subscription renews automatically for an additional period equal in length to the expiring subscription term until You cancel it, at the time of each renewal until You cancel, using the Payment Information You have provided and the same has to be authorized by You, where applicable. You must cancel Your monthly or yearly Subscription before it renews to avoid the billing of the fees for the next Subscription period. If You purchase Your Subscription via the Site, You can cancel the renewal of Your subscription at any time by contacting Rudderly by email at support@rudderly.com . If You purchase Your Subscription via an App Provider, You can cancel the renewal of Your subscription at any time with the App Provider. You will not receive a refund for the fees You already paid for Your current subscription period and You will continue to receive the Services ordered until the end of Your current Subscription period. 

 

14.3 Changes to Price Terms for Subscriptions

Rudderly reserves the right to change its pricing terms for Subscriptions at any time and Rudderly will notify You in advance of such changes becoming effective. Changes to the pricing terms will not apply retroactively and will only apply for Subscription renewals after such changed pricing terms have been communicated to You.  

 

 

15. PAYMENTS, CREDITS AND REFUNDS    

  • To the extent the Mentorship Program   or any portion thereof is made available for any fee, You will be required to select a payment plan and provide Rudderly information regarding Your credit card or other payment modes. You represent and warrant to Rudderly that such information is true and that You are authorized to use the payment instrument. You will promptly update Your account information with any changes (for example, a change in Your billing address or credit card expiration date) that may occur. You agree to pay Rudderly the amount that is specified in the payment plan in accordance with the terms of such plan and these Terms. Rudderly works with a third-party payment processing partners, for a convenient and secure way of payment method

 

  • In the event of rescheduling the set meeting on behalf of the mentee after a consecutive cancellation of two meetings, no refund will be provided. However, if the set meeting is consecutively cancelled twice by the mentor, the first recourse will be to provide You with another suitable Mentor as mutually agreed. Alternatively, a full refund will be provided. The refund will be the entire amount, not inclusive of the taxes and gateway charges. In the event of any unwarranted circumstances, the sole discretion of return policy lies with Rudderly. Rudderly refund policy is not applicable in the case of User’s weak internet connection or any other glitch faced by the User during the Session.

        

  • Gifts and Promotional Codes

Rudderly may offer gift and promotional codes to the users. Certain codes may be redeemed for the Services applied to Your Rudderly purchase/ transaction, which then may be used to avail eligible offers, subject to the terms of the offer included with Your codes. Other codes may be directly redeemable for the mentioned benefit. These codes and credits, as well as any promotional value linked to them, may expire if not used within the period specified within the offer terms and conditions.   

 

16. USE OF SERVICE

 

All the content provided on Rudderly is prone to human error. Any assessment provided by Us may not be fully accurate. We will not be liable for any undertakings or decisions taken by You that are consequent of the results of any such test. We do not take responsibility for any result that may not be as desired or expected by the User. Any information provided by the User during an assessment test will be used for tracking the information of user patterns in order to achieve the highest level of accuracy that is possible for Us. This information will be saved to generate various possible outcomes while keeping a track of your previous responses.

 

We do not warrant for the availability of your internet services in liaison with Rudderly Services. Any glitch or error arising will be the User’s sole responsibility.

 

Rudderly will be the intermediate source between the Mentor and the Mentee. Any booking that has to be done will be done exclusively through the Rudderly Services in accordance with the Terms as ruled out in addition to any other conditions that Rudderly deems fit.

 

Each Mentorship Program will constitute two sessions of one hour each. The conduct of the Users is governed by the guidelines provided in these Terms. Each session will be recorded by Us to ensure that it follows the general Rudderly guidelines and to further enhance the quality of our Services.

 

​17. DISCLAIMER

 

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, MASTERCLASS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. RUDDERLY MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

 

18. LIMITATION OF LIABILITY

 

To the extent permitted by law, We  (and our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise, and even if been advised of the possibility of damages in advance. Our liability (and the liability of each of our group companies, suppliers, partners, and agents) to You or any third parties under any circumstance is limited to the greater of rupees ten thousand only (Rs.10,000/-) or the amount You have paid Rudderly in the twelve (12) months before the event giving rise to Your claims.

 

​19. INDEMNIFICATION

 

Upon a request by Rudderly, You agree to defend, indemnify, and hold Rudderly and our affiliates harmless from all liabilities, claims, and expenses, including attorney’s fees, that arise from Your use or misuse of these Services. Rudderly reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will cooperate with Rudderly in asserting any available defenses.

 

20. GOVERNING LAW AND JURISDICTION

 

The Services are managed by Rudderly, which is located in Mumbai, India. You agree that any dispute related to these Terms will be governed by the laws of the State of Maharashtra. You further consent to the personal jurisdiction of and exclusive venue in the Supreme Court and High Courts located in and serving Mumbai as the legal forum for any such dispute.

Any dispute arising maybe resolved through a binding arbitration. The dispute will then be resolved using an established alternative dispute resolution ("ADR") provider, mutually agreed upon by You and Rudderly. The parties and the selected ADR provider will not involve any personal appearance by the parties or witnesses, unless otherwise mutually agreed by the parties; rather, the arbitration will be conducted, at the option of the party seeking relief, online, by telephone, or via written submissions alone. Any judgment rendered by the arbitrator may be entered in any court of competent jurisdiction.

Rudderly care about the security of our users. While Rudderly work to protect the security of Your account and related information, Rudderly cannot guarantee that unauthorized third parties will not be able to defeat our security measures.
